All AVV will cease to exist from January 1st 2024. Time is of the essence for all owners of an AVV to make a conversion into a VBA. If your AVV has interests and/or assets you need to act now. We of Arulex Trust and Corporate Services are ready to assist you to protect your interests. A VBA may be held by resident and/or non-resident shareholders and have no minimum capital. A VBA must have at least one resident managing director or representative (registered agent). Arulex Trust and Corporate Services -with its trust license – under the supervision of the Central Bank Aruba can be appointed as managing director of the VBA. A conversion of an AVV into a VBA on the basis of the ordinance is considered a conversion from one legal form into another for corporate law purposes. As a result, the (former) AVV will have legal continuity (i.e. will continue to exist and will not be deemed to have been dissolved prior to conversion).
